OrderGrid Inc. Acceptable Use Policy
1. Introduction
This Acceptable Use Policy (“Policy”) of OrderGrid Inc. (“OrderGrid”, “we”, “our” or “us”) describes certain restrictions with respect to your (“Client”, “you” or “your”) use of the Services. Capitalized terms not otherwise defined herein shall have the meaning ascribed to them in the OrderGrid Inc. Terms of Service (the “Terms”).
2. Prohibited Goods
The following Goods are prohibited:
2.1 Child Exploitation. Goods that exploit or abuse children, including (without limitation) images or depictions of child abuse or sexual abuse, or that present children in a sexual manner.
2.2 Hateful/Harmful Materials. Goods that promote violence against people based on race, ethnicity, colour, national origin, religion, age, gender, sexual orientation, disability, medical condition or veteran status. Goods of a threatening nature, including (without limitation) threats of death or physical harm, harassment, libel, defamation, or otherwise unlawful or tortious material. Goods that are otherwise obscene, indecent or hateful. Goods that promote self-harm.
2.3 Illegal/Criminal Activities. Goods used in connection with criminal or civil violations of applicable provincial, state, federal, or international laws, regulations, or other government requirements (“Applicable Laws”) including in the jurisdictions in which you operate or do business or to which your Goods are to be shipped.
Such violations include theft or infringement of copyrights, trademarks, trade secrets, or other types of intellectual property; storing or transmitting material in violation of third-party privacy rights, or otherwise unlawful or infringing material; fraud; forgery, theft or misappropriation of funds, credit cards, or personal information; and threats of physical harm or harassment. Goods that are, or appear to be, restricted by Applicable Laws.
2.4 Personal Information. Goods that contain personally identifiable information, or confidential information, such as (without limitation) credit card numbers, confidential national ID numbers, account passwords, medical records, employment records, or the like, unless you have prior written consent from the person to whom the information belongs or who is otherwise authorized to provide such consent.
2.5 Terrorist Organizations. Goods that imply or promote support for, funding of, or membership in, a terrorist organization.
2.6 Malicious Code. Goods which contain or which are intended to transmit Malicious Code, or which are designed or intended to illegally or in an unauthorized manner gain entry to, harm or disrupt the data or operation of our or a third party’s computing devices, networks, systems, infrastructure, or the like.
3. General
3.1 Consequences of Non-Compliance. OrderGrid has the right, but not the obligation, to monitor or investigate your use of the Services at any time for compliance with this Policy or any other agreement between you and OrderGrid governing your use of the Services. OrderGrid reserves the right, in its sole discretion, to determine whether particular Goods, or a use of the Services, is a violation of this Policy. If OrderGrid becomes aware of a violation of this Policy, OrderGrid may take such action as it deems appropriate to address the violation.
Non-compliance with the Policy may result in a demand from OrderGrid for immediate corrective action by a Client. In cases where OrderGrid deems it necessary to prevent negative consequences to OrderGrid’s overall service offering, OrderGrid may disable a Client’s activity or a Client’s access to the Services until OrderGrid and the Client are able to reach an agreement with respect to corrective action. OrderGrid, at its sole discretion, reserves the right, but does not assume the obligation, to take corrective action – without prior notice to a Client, if the Client cannot immediately be reached – in cases it deems necessary to do so. Refunds or credits will not be issued in connection with actions taken for violations of this Policy.
